Trusting your recipe to anyone can be scary — it's your secret ingredients that set your product apart. That's why this NDA stands publicly on our website and applies automatically to every project. We also email a copy to each client at the time we engage.
This Agreement is made between NutriLabels.com ("Recipient") and each client who submits confidential information in connection with labeling services ("Discloser"), effective upon submission of such information.
"Confidential Information" means all non-public information disclosed by the client, including but not limited to recipes, formulations, ingredient lists, ingredient quantities and ratios, supplier identities, spec sheets, processes, product plans, and business information.
NutriLabels will: (a) use Confidential Information solely to perform the requested labeling services; (b) not disclose it to any third party without prior written consent; (c) protect it with at least the same degree of care used for its own confidential information, and no less than reasonable care; and (d) limit access to personnel who need it to perform the services.
These obligations do not apply to information that is or becomes publicly available through no fault of NutriLabels, was lawfully known before disclosure, is independently developed without use of the Confidential Information, or must be disclosed by law (with prompt notice to the client where permitted).
All Confidential Information remains the client's property. Upon written request, NutriLabels will delete or return all copies, except archival copies required for legal or accounting purposes, which remain protected under this Agreement.
Confidentiality obligations survive for five (5) years from the date of disclosure, and indefinitely for information constituting a trade secret under applicable law.
Nothing in this Agreement grants NutriLabels any rights to the client's recipes, trademarks, or other intellectual property beyond the limited use described above.
